WebUp® Media Project Terms And Conditions
This Agreement is made between WebUp® Media (“Developer/Agency”) and the Client (as named in the Proposal/Invoice). By paying the invoice and/or signing Agreement, Client agrees to the following terms and conditions. For the purposes of these Terms & Conditions, ‘Project’ includes the initial website build and any ongoing services provided by WebUp® Media, including (but not limited to) web hosting, maintenance, support, and any ‘free website updates’ offered as part of a package.
1Scope of Work
WebUp® Media will provide website design and development services as described in the Proposal/Quotation.
Deliverables may include (as applicable): full website build, copywriting (if included), logo design (if included), hosting setup (if part of the package), SSL setup, initial SEO/configuration, and any other services explicitly listed in Proposal/Quotation.
Any work requested beyond the scope of the agreed Proposal (e.g. extra pages, additional features, major changes) will be considered out-of-scope and will require a separate written agreement or change order, which may affect project timeline and pricing.
2Client Responsibilities
The Client agrees to provide all necessary information, content (text, images), access (to domain, hosting, third-party services, etc.), feedback, and approvals in a timely manner so that WebUp® Media can proceed with the Project.
The Client will designate a single primary point of contact responsible for all communications and decisions for the duration of the Project.
Delays in Client’s supply of content, feedback or required credentials may result in delays to project delivery; WebUp® Media will not be responsible for such delays.
3Payment Terms
The total project fee will be as specified in the Proposal/Quotation/Invoice. A 50% non-refundable deposit is required before any work on the Project begins. The remaining 50% balance is due upon completion of the work — and before any final deliverables are handed over, site is made live, or code/files are transferred to Client.
Accepted payment methods are Bank Transfer, GoCardless, PayPal and Cash.
Invoices must be settled within within 7 days, unless otherwise agreed in writing.
Until full payment is received, WebUp® Media reserves the right to withhold any deliverables, transfer of code, or live deployment.
4Non-Refundable Deposit & Cancellation Policy
The 50% deposit is non-refundable under any circumstances once paid. This secures Client’s project slot and covers initial planning, resource allocation, and scheduling.
If the Client cancels the Project after deposit payment, no refund will be issued.
If the Client fails to provide required materials (content, access, approvals) within a reasonable period (e.g. within 30 days of deposit), WebUp® Media reserves the right to treat the Project as cancelled and retain the deposit.
Any work requested after notice of cancellation or termination has been given will be treated as new, chargeable work and quoted separately.
5Revision Policy & Change Requests
The Proposal includes 2 of minor revisions (e.g. small tweaks to design or content).
Requests for changes outside the scope of the original Proposal (e.g. additional pages, major redesigns, new features) will be treated as “change requests.” WebUp® Media will provide a separate quotation for such changes, which the Client must approve in writing before additional work proceeds.
Additional work will likely impact the original schedule and may incur additional fees.
6Acceptance, Approval & Handover
Upon completion of the Project, WebUp® Media will notify the Client and provide the deliverables (e.g. site files, hosting setup, etc.).
The Client has 7 days to review the deliverables and report any major issues or defects. Unless WebUp® Media receives notice within that period, the deliverables will be considered accepted.
Final payment must be received before WebUp publishes the website, transfers files, or hands over credentials.
7Hosting, Third-Party Services & Integration
If the Project includes hosting, SSL, or third-party integrations (e.g. payment gateways, booking systems, external APIs), Client agrees to provide necessary access or credentials before those components are needed.
Delays or unavailability of third-party services that prevent completion are not the responsibility of WebUp® Media; Client remains liable for the final balance if WebUp® Media’s work is otherwise complete or deliverable.
8Intellectual Property & Rights
All design, code, content, and other assets created by WebUp remain WebUp® Media’s property until full payment is received. Once full payment is made, rights to use the website as agreed (live website, content, images, etc.) will be transferred to the Client.
Until full payment is made, Client may not publish, share, modify, or redistribute any work created by WebUp® Media.
9Termination, Notice & Chargeable Work
Any work requests, updates, revisions, changes, fixes, or support requested after notice has been given will no longer be included within the original Project scope.
All such work will become chargeable at WebUp® Media’s standard hourly or project rates, unless otherwise agreed in writing.
WebUp® Media is under no obligation to continue work after notice has been given unless a new written agreement or quotation is accepted by the Client.
Outstanding invoices, accrued charges, or completed work up to the notice date remain payable in full.
10Warranty, Maintenance & Liability
WebUp® Media will use reasonable skill and care in the design and development of the website. However, WebUp® Media does not guarantee compatibility with all browsers, devices, or third-party software, nor can it guarantee search engine ranking or uptime for Client-provided hosting. (These limitations are common in the industry.)
WebUp® Media shall not be liable for any indirect, consequential, or economic losses (lost revenue, reputation, etc.) incurred by the Client due to website downtime or third-party changes (e.g. browser updates, hosting provider changes, external integrations).
If the Client requests ongoing priority maintenance after project completion, WebUp® Media may offer a separate maintenance / support agreement.
11Confidentiality & Privacy
Both parties agree to treat as confidential any sensitive business information, login credentials, or unpublished materials exchanged during the Project.
WebUp® Media may retain records for internal use unless Client explicitly requests otherwise in writing.
12Governing Law & Dispute Resolution
This contract is governed by the laws of Wales.
Any disputes shall first be attempted to be resolved amicably between the parties. If agreement cannot be reached, both parties may seek mediation or arbitration before engaging in formal legal proceedings.
WebUp® Media reserves the right to update these Terms & Conditions from time to time. Updated terms will apply automatically to all new projects. For ongoing projects and ongoing services (including hosting, maintenance, and free website updates), the most current version published on the WebUp® Media website will apply, unless prohibited by law.
13Acceptance of Terms
By paying the deposit and/or signing this Agreement, the Client confirms that they have read, understood, and accepted these Terms & Conditions.
The Proposal/Quotation/Invoice together with this Terms & Conditions Agreement constitute the full agreement between WebUp® Media and the Client regarding the Project.
